These Terms of Service (the “Terms”) are a binding agreement between you and Solomon Labs LLC (“Solomon Labs”, “we”, “us”), a Wyoming limited liability company, governing your access to and use of the Sokrates desktop application, the Sokrates website at sokrates.cloud, and any related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Sokrates is a macOS desktop application that, with your permission, captures your screen and audio in real time, processes that content through third-party artificial-intelligence services (described in our Privacy Policy), and surfaces the results in an on-screen overlay. The Service is intended to assist you with interview preparation, meeting note-taking, technical problem solving, and personal practice.
The Service requires an active internet connection and an active subscription for full functionality.
You must be at least 13 years of age to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian. By using the Service you represent that you meet these requirements and that you are legally able to enter into these Terms.
You are solely responsible for how you use the Service and for ensuring that your use complies with applicable law and with any contracts, codes of conduct, or terms that apply to you (including, without limitation, the policies of any employer, school, certification body, exam administrator, or platform you use the Service alongside).
You agree not to use the Service to:
We are not a party to any agreement between you and any third party (such as an employer or examiner), and you agree that any consequences of using the Service in violation of such an agreement are your responsibility.
You must create an account to use most of the Service. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials. You are responsible for all activity that occurs under your account. Notify us immediately at support@sokrates.cloud if you suspect unauthorized use of your account.
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.
You can cancel a subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
Unless required by applicable law, fees are non-refundable. We may, in our sole discretion, offer a refund or credit for an unused portion of a subscription if you contact support@sokrates.cloud within 14 days of a charge.
We may change subscription prices on prospective renewals with at least 30 days’ notice by email.
Each plan includes specified usage allowances (such as captures and AI queries per day). If you exceed your allowance, certain features may be temporarily disabled until the next billing cycle or until you upgrade. We may adjust allowances on prospective renewals.
The Service, including its software, design, prompts, models, documentation, and trademarks, is owned by Solomon Labs LLC and its licensors and is protected by United States and international intellectual-property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your subscription.
You retain all rights in the content you submit (audio, captures, uploaded files, prompts). You grant us a limited license to process that content as necessary to provide the Service. AI-generated responses are returned to you for your use; you are responsible for reviewing them before relying on them for any decision.
The Service relies on third-party providers (listed in our Privacy Policy). Your use of the Service is subject to those providers’ terms and policies where applicable. We are not responsible for the acts or omissions of third-party providers, but we will use commercially reasonable efforts to maintain Service continuity when a provider experiences downtime.
Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms by reference.
We strive to keep the Service operational but do not guarantee uninterrupted availability. The Service may be unavailable for maintenance, due to events beyond our control (force majeure), third-party provider outages, or other reasons. We are not liable for any loss arising from unavailability.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR ANY PARTICULAR USE.
AI outputs are generated by statistical models and may contain errors, omissions, or fabricated information. You must independently verify any AI output before relying on it for a consequential decision.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOLOMON LABS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Solomon Labs LLC from any claim, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any applicable law or third-party right.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to us, the Service, or other users. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including Sections 8, 12, 13, 14, 16, and 17) will survive.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts. If you reside in a jurisdiction whose mandatory consumer-protection laws apply, those laws may give you additional rights that are not affected by this Section.
We may update these Terms from time to time. When we make material changes, we will notify you by email or in-application notice at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
These Terms, together with the Privacy Policy, are the entire agreement between you and Solomon Labs LLC regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
